BOCMSNL Incorporation Steering Committee Meeting, Ship Inn, 12/9/07.

Chair, Frank Davis.

 1    Approval of Minutes for 12/2/07.

 2    Introduction of Committee Members: Marie Yetman, Terri Thomson, Ted Rowe, Neil Rosenberg, Russ Pack, Gordon Murphy, Peter McGuire, Dave Kiell, Clayton Kennedy, Frank Davis, Ed Breen

 3    Minutes approved with one change. Item 5, section C corrected to read:

           Consult with the producers of jam sessions and coffee houses to see if they are interested in being involved with the society.

 4    T-shirts

     Gordon Murphy & Clayton Kennedy will check with the Kirk board to see if we can sell there.

     Ted Rowe suggests giving the '07 shirts as a donation to The Gathering Place. It is decided to donate 40 XL’s, a combination of older stock and 2007 shirts.

 5    Chair announced that Molly Kennedy tendered her resignation from the committee.

 6    Incorporation as non-profit. Ted Rowe presented:

     Needs for incorporation application:

     1 Name--we have that

     2 Address--we need that

     3 3 Directors

     4 $70.00 fee

 

     Needs after incorporation:

     1 Annual return to Province, cost $50.00 per annum

     2 Annual return to Revenue Canada

    

     Rowe suggested it would save us a lot of money if a member of the Society who is a Chartered Accountant and can take the responsibility of submitting these returns is on our board. Scalliwag members Sandra Smith and Shelley Martin were mentioned as possible candidates.

 
7    Motion to proceed with incorporation (Ted Rowe, second Ed Breen). Approved unanimously.

8    Motion to make present Society account signing officers (Frank Davis, Neil Rosenberg, Ted Rowe) the 3 directors for purposes of incorporation (Dave Kiell, second Gordon Murphy). Approved unanimously. Rowe to fill out necessary forms.

 9    A committee was struck to draft bylaws for approval by the Steering Committee: Ed Breen, Peter McGuire, Gordon Murphy. It was suggested that the bylaws of the Folk Arts Council could serve as a model.

 10   Festival

 

     1 The letters of intent sent to three bands for the August dates by Mount Pearl were discussed. It was agreed to postpone action of any sort on these until a decision has been made by the Society about a festival for 2008.

     2 A committee was struck to consider the question of a festival for 2008: Dave Kiell, Russ Pack, and Neil Rosenberg.

 

     The committee's mandate includes:

     Testing the waters with other communities--Carbonear, Bay Roberts, Conception Bay South

     Suggesting the format and size of the event

     Addressing the balance of old-time county and bluegrass

     Considering whether or not to include workshops

 

11   The next meeting of the steering committee will be on Sunday December 23rd at Howley Estates Sobey's; Frank will make arrangements.
